1. Code of Conduct
  1. Adjunct is formed to deliver superior value to clients, promote the success and development of its members and to advance business management consulting.

  2. Members of the consortium agree to abide by the ethical guidelines described in this Code of Conduct.

 


Adjunct and the Adjunct Executive consortium operate in a larger community of business, governments and other organizations and people. Each Adjunct Executive is responsible for being a contributing, law abiding member of that larger society locally, nationally and internationally. As each Adjunct Executive goes about their business life, they are the consortium in eyes of the people they encounter. As such each member of the consortium agrees to conduct business in such a manner as to bring credit to themselves and the consortium.

Collectively and individually we will strive to:
· always do business within one's means;
· have respect for the partners and participants in this shared business venture;
· resist crime and corruption, and do one's part to see that crime and corruption become unprofitable for everyone; and
· live up to the trust placed in each Adjunct Executive; trust is the foundation of entrepreneurship and a key to success. We endeavor to earn a reputation for integrity, competency, and excellence.
Accurate honest representations:
If an Adjunct Executive is responsible for preparing invoices or for providing information to the people who do, they must be sure that the invoice correctly reflects the service sold and the terms of the sale. To ensure accurate representation all Adjunct and Adjunct Executive invoices, or official communication of the Adjunct Executive consortium must be approved by the management of Adjunct prior to delivery to a client
For time and material based projects, each Adjunct Executive is personally responsible for the accurate reporting of the time they spend working on said projects. In addition, project managers are responsible for confirming, or in some cases assigning, all time charges to the correct project. Accuracy and honesty are more important than whether the project makes a profit.


Fair dealing:
If an Adjunct Executive is responsible for making payments to other consultants, subcontractors or suppliers they must make certain that the product or service they receive is exactly what the purchase agreement says it is. Both of these transactions must be handled so that there is no opportunity to hide kickbacks, bribes or other improper payments or receipts.
Appropriate Expenses:
Each Adjunct Executive is responsible for ensuring that their clients are charged only for expenses that are usual and customary and were specifically required by the project or service performed for that client.
Government Contract Costs:
Each Adjunct Executive is responsible for assigning costs to their appropriate project or overhead account. Costs that are not allowed to be charged to government projects must be kept separate from those that are. The government will not reimburse contractors for money spent for advertising, entertainment or certain other expenses.
Physical Property:
If an Adjunct Executive is working with materials and equipment that belong to a client, Each Adjunct Executive is personally responsible for those items their possession. Each Adjunct Executive must make sure that client-owned property in their care is used properly, by authorized personnel, and only for the purpose intended. Adjunct property may not be used for personal benefit, sold, loaned, given away or otherwise disposed of without proper authorization.
Private Information and Intellectual Property:
When an Adjunct Executive has access to technical, financial or commercial information that is sensitive or belongs to the Adjunct, its clients, or suppliers, he or she is responsible for safeguarding it. Each Adjunct Executive must make sure that only those people with a legitimate need to know have access to it. This information includes trade secrets, cost data, marketing plans, computer programs, new development projects and other business matters. Each Adjunct Executive must also protect any patents, trademarks or copyrights. An Adjunct Executive should not share protected information with others. If an Adjunct Executive has access to employee data, such as personnel files, it is their duty to protect the employees' right to privacy.

If an Adjunct Executive should become inactive or is asked to leave the consortium all Adjunct, Adjunct Executive or associated materials must be returned to Adjunct management immediately. In addition the former Adjunct Executive agrees to cease representing themselves as members of the consortium immediately upon becoming inactive or receiving notice that they have been asked to leave the consortium.

Adjunct Executives are responsible for complying with requirements of copyright licenses related to software used in fulfilling project requirements. We will not reproduce software that is licensed to us by a supplier nor will we incorporate it into our own internally developed software unless we are permitted to do so

Classified Information:
Each Adjunct Executive is required by law to safeguard U.S. Government classified information and much unclassified technical data as well. The responsibility to protect information, both private and classified, continues even if Adjunct Executive leave the consortium, and each Adjunct Executive must return any such documents to Adjunct before they go.

Conflict of Interest:
When Each Adjunct Executive is conducting business and trying to get new business, the interests of Adjunct, individual Adjunct Executives, their suppliers and the clients must not be in conflict. Each Adjunct Executive must avoid any action or behavior that may put the Adjunct Executive or Adjunct in a position of conflict of interest or of divided loyalty and an Adjunct Executive must avoid actions or relationships that might give even the appearance of such conflict.
Marketing and Other Public Communications:
Each Adjunct Executive is responsible for advertising, marketing or selling the their services and promoting the interests of the consortium. Each Adjunct Executive should make sure that we sell our services honestly. An Adjunct Executive will not belittle a competitor nor make unfounded claims about the consortium's or their own abilities to perform.


Governmental Relations:
An Adjunct Executive will pay all their taxes that are owed and due; abide by all mandatory government and local regulations. They will obtain all governmental permits, licenses, and approvals required to do business. They will deal with government authorities on an arm's length basis, and make no attempts to improperly influence governmental decisions. They will establish transparent procedures regarding transactions engaged in by enterp
rises with any government agency or official or in dealings with any enterprise owned or controlled by a government agency or official; and in transactions with any government agency or officials or with any enterprise owned or controlled by government or government official, include appropriate provisions to ensure compliance with international or national codes against extortion and bribery.
